CONSULTING
AGREEMENT
THIS
CONSULTING AGREEMENT dated
as of ____________between
William
James Bright, P.O. Box 111014, Palm Bay, Florida 32911 and
_______________________________________________
(Corporation)
is to the following effect.
WHEREAS,
William James Bright provides various consultancy services to assist
companies in establishing National Representative Sales Networks, Management
Services, Credit, Collection and Legal Forwarding Services and has the
capacity to perform such services, and
WHEREAS,
both William James Bright and the Corporation intend to set forth the terms
and conditions of services provided, each to the other,
NOW,
THEREFORE,
in consideration of the mutual covenants, agreements and provisions hereof,
William James Bright and Corporation agree as follows:
- The
Corporation hereby retains William James Bright to provide consulting
services to the Corporation as follows:
(a)
William James Bright agrees to perform such services for Corporation
or Corporation's clients as are requested by Corporation in the
following coverage areas;
(b)
William James Bright agrees to provide Management Services to the
Corporation for the agreed up amount of $USD _______________, for the
agreed upon time ________________ starting on ___________________.
- Independent
Contractor.
All services to be performed by William James Bright shall be performed
in the capacity of an Independent Contractor, and shall not be an
employee of the Corporation by reason of this Agreement.
- Confidentiality.
William James Bright acknowledges that as a result of their position
with the Corporation they will not reveal without prior authorization of
the Corporation the identity of the Corporation, their products or
services. William
James Bright also will not use the Corporations identity to advertise
their relationship without prior consent of the Corporation.
- Compensation.
The Corporation will pay William James Bright for the
performance of the agreements and services specified herein as
follows:
- William
James Bright will receive an initial payment of $USD ________ and
receive $USD ________ every thirty days for __________ days.
The Corporation agrees that it will pay William James Bright in
full the balance due $USD _______ within 30 days of finalizing their
assignment.
- Termination.
William James Bright and the Corporation, upon three (3) days
written notice, may terminate this Agreement, with or without cause.
In the event this Agreement is terminated for any reason
whatsoever, the Corporation shall deliver immediately to William James
Bright final payment based on the number of States/nations registered as
part of their National Sale Representative Network.
Upon breach hereof, the parties shall be entitled to relief as
agreed to by the parties, or as provided by a court of competent
jurisdiction in the State of Florida.
7.
Working
Facilities.
William James Bright agrees to bear the cost of setting up the
National Representative Sales Network.
Corporation may request that William James Bright perform additional
services and these costs will be negotiated on a per case basis and borne by
the Corporation.
- Notices.
All notices given hereunder shall be in writing and effective
when delivered, mailed or faxed.
- Guarantee.
William James Bright will for a period up to 1 year from the date
of this contract at no charge, replace any rep within the National
Representatives Sales Network that has not performed at the levels
expected by the Corporation, as long as the Corporation has been
honoring their commitments to the rep, clients and their product is of
good quality.
